How to set up a company in Azerbaijan ?

Other foreign investors who want to engage in service or production activities in Azerbaijan
As in other countries, there are some steps that must be followed.
In our article, we will briefly discuss these stages and the necessary procedures for establishing a company in Azerbaijan.
Foreign investors and businessmen who decide to establish a company in Azerbaijan, as the first step, apply to the relevant executive authority of the Republic of Azerbaijan with a petition. The relevant petition is signed by the founder of the company or the man to whom he has given power of attorney and notarized.
The information to be stated in the petition is as follows:
When the company founder or founders are real men; first and last name, patronymic, residential address, ID number and date of issue,
When the company founder or founders are legal men; name, location and registration number,
If the application is signed by an authorized man, the man’s name, patronymic, residential address, ID number, date of issue and power of attorney information.
After filling in the information required in the petition, the following documents are added.
Establishment documents. These documents; the charter signed by the founder or founders of the company, the decision on the approval of the charter for the establishment of the institution.
A document showing that the government image has been collected,
If the founder of the company is a legal man, the registration certificate of the state registration of the man and the notarized document in accordance with the statute,
Full name, patronymic, residential address and information of the legal representative with executive and decision-making powers, documents and signature circulars showing the man’s representative authority,
A certified document containing the legal address of a foreign-owned organization that wishes to obtain the status of a legal person.
There are some distinguishing features for the state registration of foreign investors who want to operate as a legal entity. In addition to the above-mentioned documents, the following information is also included in order to make the state registration of these persons.
If the founder of the company is a foreign legal person, a document confirming his personal registration; photocopy of commercial register, registration certificate, etc.
If the founder of the company is a foreign or stateless man, a photocopy of the man’s national identity card and a document confirming his registration, a document showing his citizenship or permanent residence and commercial activity.
Foreign or stateless persons who have obtained the right to permanent residence within the borders of Azerbaijan by fulfilling all the above-mentioned procedures must submit the relevant documents to the relevant governor’s application center within the framework of the rules contained in Article 5 of the Law of the Republic of Azerbaijan on the State Register of Legal Men and State Registry of Legal Men. they offer After the submitted documents are registered with the state, they are registered with the statistical, tax and social security offices. the necessary documents for this process are submitted to the State Statistical Committee of the Republic of Azerbaijan, and a registration certificate is issued to the Census units in the form of a document containing the approval of the registration of a legal person.
After registering with the tax authorities as a taxpayer according to the relevant rules, in order for the tax control to be carried out, the taxable income originates from Azerbaijan and legal entities that cannot be taxed on the spot for payment from the obtained income, where the income from Azerbaijan is provided, the fact that the Tax Law and private entrepreneurs are required to make a declaration people are registered with the tax offices at their place of residence, and the certificate of registration is given to the taxpayer.
On the day the founder or persons apply for state registration, a report is issued by the relevant authority along with the registration documents. A man engaged in entrepreneurial activity must submit the relevant petition to the tax office on the day he starts this activity before establishing a legal entity. The tax office provides information on the completion of the tax register of men or persons within 5 days after the requested transaction.
The application for tax registration issued by a foreign legal person residing in the place of management of branches that do not have a permanent representative in Azerbaijan must be signed by a foreign legal partner or a representative.The documents and information that must be added to the petition for the registration of the branches of the person residing in a foreign state that cannot establish permanent representation in Azerbaijan are given below.
Commercial registry forcopy of the foreign legal person and registration (incorporation) document in the state in which it is registered,
The decision on the establishment of the branch of the authorized body of the foreign national, which does not establish permanent representation in Azerbaijan,
Documents provided for the establishment,
Document approved by the tax authorities in the country of permanent residence,
A document confirming his legal address in Azerbaijan,
Photocopy of the identity card of the branch representative,
Information on branches that do not establish permanent representation in Azerbaijan and their income sources, as determined by the relevant governor’s authority.
The documents included in Articles 1 and 4 above should be legalized by stating them in accordance with the procedure. The information and documents that should be attached to the petition regarding the registration of the foreign legal entity, which is considered a local entrepreneur, according to the location of the management bodies of the company are given below.
Incorporation certificate and a photocopy of the commercial register in the state where the company is registered,
Documents provided for the establishment,
Document confirming the legal address in Azerbaijan,
Photocopy of the document confirming the identity card of the representative of the legal entity,
Information on the institutions and sources of income that are under its direct or indirect control in Azerbaijan and other countries, as determined by the relevant executive power office.
The documents in the 1st and 2nd articles above should be legalized by specifying the procedure. All documents specified as itemized are approved in Azerbaijani language in accordance with notary rules and attached to the petition to be submitted together with their translation. The removal of the branch that does not establish a permanent representative office for the person residing in a foreign country to operate in Azerbaijan from the tax register and the removal of the tax registration number are carried out within the framework of the following issues.
When the person residing in the foreign state or the branch that does not establish a permanent representation is removed,
The activity of the branch that does not establish a permanent representation is when a permanent representation is established.
The removal of the foreign legal person residing on behalf of the company instead of the management from the tax register and the removal of the tax registration number are carried out within the framework of the following issues.
The foreign legal person residing according to the place of management is abolished in the state where it is registered (incorporation),
When the place of residence of the foreign legal person residing according to the place of administration changes.
The registration of the taxpayers of the municipal taxes is carried out by the tax service office of the municipalities. A petition is filed by the taxpayer for registration with the tax office. When taxpayer legal entities apply to the tax office together with the petition to register their branches and representative offices, a document confirming the establishment of their state registration document approved in accordance with the established rules, documents confirming the appointment of the president and the address of the legal person, as well as a document confirming the identity card of the president. They must submit their photocopies to the tax office. In order to realize the registration of a private entrepreneur who is already a taxpayer, a copy of the identity card and information about the place of residence are submitted together with the application petition. It is not registered with the tax registration number to the senior organizations of taxpayer legal entities. The relevant petition is filled in by the taxpayer or his authorized representative, and the relevant petition is recorded with a photocopy of the identity card and residence address. After the people are registered, the personal information of the people is added to the relevant information. The form of petition prepared for registration is approved by the relevant executive authority office. The tax office carries out the registration of the taxpayer within 10 days of the delivery of the documents. If the relevant transaction is realized, the taxpayer is given a certificate of registration and the document confirming the registration of the taxpayer is given to the taxpayer, although it is specific to the taxpayer once. No payment is required during all these processes.

Each taxpayer is given the tax registration number of the taxpayer valid in Azerbaijan from all taxes. The tax office shows his identification number in all notifications sent to the taxpayer.
